Learney Terms of Use

Effective Date: August 12, 2026

These Terms of Use ("Terms") constitute a binding agreement between you ("User" or "you") and Learney Inc. ("Company," "we," "us," or "our"), the operator of the Learney AI learning platform (the "Service") at en.learney.school, lms.learney.school, and app.learney.school.

By accessing or using the Service, you agree to these Terms, the Company's Privacy Policy, and any Data Processing Agreement ("DPA") entered into between the Company and your school. If you are agreeing on behalf of a school or school district ("School"), you represent and warrant that you have the authority to bind that institution to these Terms.

Order of Precedence. In the event of any conflict between these Terms and a purchase order, master services agreement ("MSA"), or DPA executed between the Company and a School or district, the purchase order, MSA, or DPA shall control.

Effect of Electronic Assent. Your agreement to these Terms by clicking, checking a box, or using the Service has the same legal force and effect as a handwritten signature, in accordance with the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable law.

1. User Accounts

1.1 Account Types and Eligibility

The Service offers the following account types:

• Teacher Accounts (lms.learney.school): For educators to manage classes, distribute content, and monitor student learning progress. Teachers warrant that they have been authorized by their School to use the Service together with students.
• Student Accounts (app.learney.school): For students to access learning content and AI tutoring.
• Administrator Accounts: For School administrators to manage institutional settings and user access rights.

1.2 Age Requirements

• Children under 13: May use the Service only through School consent (with the School providing consent as the parent's agent under COPPA, 16 CFR § 312.5(b)(1)). All Student Accounts are created exclusively by authorized teachers; children under 13 may not create accounts independently.
• Students ages 13–17: Require School authorization to use the Service.
• Users 18 and older: May register independently.

1.3 Account Security
